This section provides a simplified overview of your rights as a LAPIN VIBE NFT holder.
It is for informational purposes only and does not replace the full legal agreement below.
When you hold a LAPIN VIBE NFT, you own the NFT itself.
You may transfer, sell, or otherwise dispose of the NFT through supported marketplaces.
As a holder, you may:
- Display the Artwork for personal, non-commercial use
- Use the Artwork as a profile image or in personal social media
- Show the Artwork to represent ownership of your NFT
- Transfer or resell the NFT, subject to marketplace rules
All Artwork, characters, stories, and associated intellectual property remain the exclusive property of MEART CO., LTD.
Commercial use of any LAPIN VIBE Artwork, characters, or brand elements requires prior written approval.

LAPIN VIBE Digital Collectible License
Overview
This section provides a simplified overview of your rights as a LAPIN VIBE NFT holder.
It is for informational purposes only and does not replace the full legal agreement below.
You own the NFT itself, but not the underlying Artwork or LAPIN VIBE intellectual property.
You may display your NFT for personal, non-commercial use, including as a profile image or on social media.
You may transfer or resell your NFT through supported platforms.
Commercial use requires prior written approval.
Full Legal Agreement
This LAPIN VIBE Digital Collectible License Agreement (“Agreement”) is entered into between you (“you” or “your”) and MEART CO., LTD. (“MEART,” “we,” “us,” or “our”).
By purchasing, acquiring, holding, or otherwise using a LAPIN VIBE NFT, you agree to be bound by this Agreement.
1. Definitions
- “MEART,” “we,” “us,” or “our” refers to MEART CO., LTD. and its affiliates.
- “You” or “your” refers to the lawful owner of a LAPIN VIBE NFT, as recorded on the applicable blockchain.
- “NFT” means a blockchain-based non-fungible token, including but not limited to ERC-721, ERC-721A, ERC-1155, or similar standards.
- “LAPIN VIBE NFT” means any NFT created by or on behalf of MEART under the LAPIN VIBE brand.
- “Artwork” means any visual, audiovisual, or artistic content associated with a LAPIN VIBE NFT.
- “LAPIN VIBE IP” means all intellectual property rights associated with LAPIN VIBE, including but not limited to trademarks, characters, designs, names, logos, copyrights, and related rights.
2. Ownership
You own the NFT itself.
Ownership of the NFT does not grant any ownership rights in the Artwork or LAPIN VIBE IP.
All rights, title, and interest in the Artwork and LAPIN VIBE IP remain exclusively with MEART.
3. License Grant
Subject to your continued lawful ownership of the NFT, MEART grants you a limited, non-exclusive, non-transferable (except upon transfer of the NFT), non-sublicensable, worldwide license to:
- (a) display the Artwork for personal, non-commercial use;
- (b) use the Artwork solely in connection with the sale, transfer, or display of the NFT on recognized platforms.
4. Restrictions
You may not:
- (a) use the Artwork or LAPIN VIBE IP for commercial purposes without prior written approval;
- (b) modify, adapt, or create derivative works from the Artwork;
- (c) use the Artwork in connection with unlawful, harmful, abusive, discriminatory, or offensive content;
- (d) use the Artwork in any manner that may harm the reputation, goodwill, or brand of LAPIN VIBE or MEART;
- (e) use the Artwork in a way that suggests sponsorship, endorsement, or affiliation without authorization.
5. Commercial Use
Commercial use requires prior written approval from MEART.
MEART may approve, deny, or revoke such approval at its sole discretion.
Approved commercial use must comply with the LAPIN VIBE Commercial Use Guidelines.
6. Termination
This license automatically terminates if:
- (a) you transfer or sell the NFT;
- (b) you breach any provision of this Agreement.
Upon termination, all rights granted to you immediately cease.
7. Intellectual Property Enforcement
MEART retains all rights to enforce its intellectual property.
You agree not to:
- (a) reproduce, distribute, or exploit the Artwork beyond the scope of this license;
- (b) mint, tokenize, or create additional NFTs using the Artwork;
- (c) use the Artwork in a manner that infringes or misappropriates LAPIN VIBE IP.
MEART reserves the right to take any legal action, including but not limited to takedown requests, account suspension requests, and legal proceedings, to protect its intellectual property.
You agree to cooperate with reasonable enforcement actions if required.
8. Third-Party Platforms
NFT transactions may occur on third-party platforms.
MEART does not control and is not responsible for the operation, security, or availability of such platforms.
9. Assumption of Risk
You acknowledge and accept all risks associated with NFTs and blockchain technology, including but not limited to:
- (a) market volatility;
- (b) regulatory uncertainty;
- (c) technical failures;
- (d) loss of private keys or wallet access.
10. No Investment or Financial Advice
LAPIN VIBE NFTs are digital collectibles and are not intended as investments.
MEART does not guarantee any financial return, value appreciation, or profit.
11. Disclaimers
All NFTs, Artwork, and related services are provided “as is” and “as available,” without warranties of any kind.
To the fullest extent permitted by law, MEART disclaims all warranties, express or implied.
12. Limitation of Liability
To the maximum extent permitted by law, MEART shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
MEART’s total liability shall not exceed the amount paid for the NFT.
13. Indemnification
You agree to indemnify and hold harmless MEART and its affiliates from any claims, damages, or liabilities arising from:
- (a) your use of the NFT;
- (b) your violation of this Agreement.
14. Dispute Resolution
This Agreement shall be governed by the laws of Taiwan.
Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved by binding arbitration in Taipei, Taiwan, conducted in English.
To the fullest extent permitted by law:
- (a) disputes shall be resolved on an individual basis only;
- (b) class actions, class arbitrations, or representative actions are not permitted.
If arbitration is not enforceable under applicable law, disputes shall be resolved in the courts of Taipei, Taiwan.
15. Miscellaneous
You must be at least eighteen (18) years old to use or own a LAPIN VIBE NFT.
This Agreement does not create any partnership, agency, or joint venture.
If any provision is found unenforceable, the remaining provisions shall remain in full force.
MEART reserves the right to update this Agreement from time to time.
For creators who wish to build with LAPIN VIBE
LAPIN VIBE Commercial Use Guidelines
Philosophy
LAPIN VIBE encourages thoughtful, creative, and aligned use of its Artwork and universe.
Commercial use is not automatically granted.
It is selectively approved to ensure alignment with the values of creativity, awareness, and conscious growth.
What is considered “Commercial Use”
Commercial use includes, but is not limited to:
- (a) Selling products featuring LAPIN VIBE Artwork
- (b) Using Artwork in branding, advertising, or promotional materials
- (c) Creating derivative products for sale
- (d) Using Artwork in monetized content (e.g., paid media, merchandise, apps)
- (e) Any activity intended to generate revenue or commercial advantage
What is generally allowed without approval
You may use your NFT for:
- (a) Personal display (including social media profiles)
- (b) Non-commercial sharing or storytelling
- (c) Community participation and identity representation
These uses must remain non-commercial and respectful of the LAPIN VIBE brand.
What requires approval
You must obtain prior written approval from MEART before:
- (a) Selling any product using LAPIN VIBE Artwork
- (b) Using Artwork in a brand, business, or company identity
- (c) Creating physical or digital merchandise
- (d) Launching any project or service using LAPIN VIBE characters or visuals
- (e) Using Artwork in monetized platforms (YouTube, apps, games, etc.)
Brand Alignment Requirements
Approved commercial use must:
- (a) Respect the tone and values of LAPIN VIBE
- (b) Avoid misleading association with official LAPIN VIBE products
- (c) Maintain the integrity of characters and visual identity
- (d) Not harm the reputation of LAPIN VIBE or its community
MEART reserves the right to determine alignment at its sole discretion.
Prohibited Uses
The following uses are strictly prohibited:
- (a) Hate speech, discrimination, or harmful content
- (b) Violence, harassment, or abusive material
- (c) Sexual or explicit content
- (d) Illegal or unethical activities
- (e) Misrepresentation as an official LAPIN VIBE product or partnership
Violation may result in immediate revocation of rights.
Approval Process
To request commercial use rights, you must submit an application including:
- (a) Description of your project
- (b) Intended use of the Artwork
- (c) Distribution method (digital, physical, platform, etc.)
- (d) Revenue model (if applicable)
- (e) Timeline and scope
MEART may approve, reject, or request modifications at its sole discretion.
Revocation of Rights
MEART reserves the right to revoke any granted commercial rights if:
- (a) The use becomes misaligned with the brand
- (b) The terms of approval are violated
- (c) The project negatively impacts LAPIN VIBE
Upon revocation, all commercial use must cease immediately.
No Automatic Commercial Rights
Ownership of a LAPIN VIBE NFT does not grant automatic commercial rights.
All commercial usage must be explicitly approved in writing.
Future Expansion
MEART may introduce structured commercial licenses, tiers, or revenue-sharing models in the future.
Participation in such programs may be subject to additional terms.
Commercial Use Application
LAPIN VIBE welcomes thoughtful commercial collaborations aligned with storytelling, creativity, and conscious growth.
